crismo Partner Terms & Conditions

These Partner Terms & Conditions ("Terms") govern participation in the crismo Partner Program.

By clicking "I agree" and submitting a partner application, you confirm that you have read, understood, and accepted these Terms on behalf of yourself or the entity you represent.

1. Purpose

The crismo Partner Program enables approved partners to promote, recommend, and support the use of the crismo platform in a professional B2B context.

These Terms establish a non-exclusive, non-commercial baseline partnership unless otherwise agreed in writing.

2. Partner Eligibility & Acceptance

  • Submission of an application does not guarantee acceptance
  • crismo may approve, reject, or revoke partner status at its sole discretion
  • Partner status may be reviewed or withdrawn at any time

3. Scope of Partner Activities

Approved Partners may:

  • Refer potential customers to crismo
  • Offer advisory, training, or implementation support related to process modeling
  • Publicly identify themselves as a "crismo Partner" (if approved)

Partners may not:

  • Act on behalf of crismo
  • Make binding commitments or representations
  • Modify, resell, sublicense, or white-label the crismo platform
  • Represent roadmap items, pricing, or guarantees

4. Commercial Terms

Unless explicitly agreed in writing:

  • There are no referral fees, commissions, or revenue sharing
  • Participation does not entitle Partner to compensation
  • All commercial arrangements require a separate written agreement

5. Branding & Intellectual Property

  • crismo retains all rights to its platform, trademarks, and materials
  • Partners receive a limited, revocable, non-exclusive license to use approved crismo branding solely for partner identification and promotion
  • crismo may revoke branding rights at any time

6. Confidentiality

Partners must keep confidential any non-public information received from crismo and use it solely for partner activities.

This obligation survives termination.

7. Data Protection

Partners must comply with all applicable data protection laws, including GDPR.

Partners may not access or process customer or platform data unless explicitly authorized.

8. Non-Exclusivity

  • The Partner Program is non-exclusive
  • Partners may work with competing tools
  • crismo may appoint other partners or work directly with customers

9. Termination

Either party may terminate the partnership at any time without cause.

Upon termination, Partner must immediately stop using crismo branding and partner claims.

10. Disclaimer & Limitation of Liability

  • The Partner Program is provided "as is"
  • crismo makes no warranties regarding outcomes, revenue, or customer acquisition
  • crismo's liability is limited to the maximum extent permitted by law

11. Independent Relationship

Nothing in these Terms creates a partnership, agency, employment, or joint venture relationship.

Partners act independently and at their own risk.

12. Governing Law

These Terms are governed by the laws of Germany.

13. Updates to These Terms

crismo may update these Terms from time to time.

Continued participation after updates constitutes acceptance of the revised Terms.
